Terms of Service — Soraivy

1. Agreement to Terms

By accessing or using the Soraivy platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

The Soraivy brand and Services are provided by:

• India: MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED, a company incorporated in India
• International: Soraivy, Inc., a corporation registered in the State of Delaware, United States

Depending on your location and the payment or service path used, the contracting entity is either MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED or Soraivy, Inc. (together with the product brand "Soraivy," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and the applicable entity.

2. Eligibility

To use our Services, you must:

• Be at least 13 years of age (or 16 in certain jurisdictions)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our Services under applicable law
• Not have a previously terminated Soraivy account unless we have given express written permission to re-register

By using our Services, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access certain features of the platform, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account at lakshay@soraivy.com
• Accept responsibility for all activities that occur under your account

Soraivy reserves the right to suspend or terminate accounts that contain false information or violate these Terms.

4. Use of the Platform

a. Permitted Use

You may use Soraivy's Services solely for lawful purposes and in accordance with these Terms. You agree to use the platform in a manner consistent with all applicable local, national, and international laws and regulations.

b. Prohibited Conduct

You agree not to:

1. Use the Services for any unlawful, harmful, fraudulent, or abusive purpose
2. Infringe upon the intellectual property rights of Soraivy or any third party
3. Upload, transmit, or distribute viruses, malware, or any other malicious code
4. Attempt to gain unauthorized access to any part of the platform or its related systems
5. Scrape, crawl, or extract data from the platform without our prior written consent
6. Impersonate any person or entity or misrepresent your affiliation with any person or entity
7. Interfere with or disrupt the integrity or performance of the Services
8. Use automated means to access or interact with the platform without our express permission
9. Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services
10. Reverse engineer, decompile, or disassemble any part of the platform

Violation of these prohibitions may result in immediate termination of your account and access to the Services.

5. Intellectual Property

a. Soraivy's IP

All content, features, functionality, designs, logos, trademarks, and technology on the Soraivy platform — including but not limited to text, graphics, software, and code — are owned by or licensed to Soraivy, Inc. and/or MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our proprietary content without our express written permission.

b. Your Content

You retain ownership of any content you create, upload, or submit through the platform ("User Content"). By submitting User Content, you grant Soraivy a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

c. Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant Soraivy the right to use such feedback without restriction or compensation to you.

5B. User-Generated Content — Zero Tolerance, Filtering, Reporting, Blocking & 24-Hour Enforcement

Soraivy hosts user-generated content (videos, comments, live chat). There is zero tolerance for objectionable content or abusive users. Prohibited content includes pornography, harassment, hate, incitement to violence, sexual solicitation of minors, and any illegal content. Users who post objectionable content or engage in abusive behavior will have their content removed and account suspended or banned.

• Filtering: We use automated screening and human moderation to filter objectionable content before and after publication.
• Reporting: Every video, comment and live-chat message can be flagged via ⋯ → Report (choose a reason). Reports are queued for review.
• Blocking: You can block any user from their profile or content menu; blocked users’ content is hidden from you.
• 24-hour action: We review objectionable-content reports within 24 hours and, when confirmed, remove the content and eject the offending user.

6. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.

6A. Payments, refunds & cancellations

Paid features on Soraivy (including memberships, tips, and other digital purchases) may be processed by authorized payment gateways. For India-related payments, the merchant of record may be MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED. For international payments, the merchant of record may be Soraivy, Inc. Refunds and cancellations are governed by our Refund & Cancellation Policy.

7. DMCA and Copyright

Soraivy respects intellectual property rights and complies with the Digital Millennium Copyright Act. If you believe any content on our platform infringes your copyright, please refer to our DMCA Policy and Copyright Policy, and contact our Designated Agent:

8. Third-Party Services and Links

Our platform may integrate with or contain links to third-party websites, tools, or services. Soraivy does not endorse and is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and governed by their respective terms.

9. Disclaimers

THE SORAIVY PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE ACCESS.

Soraivy does not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• Any errors in the platform will be corrected
• The results obtained from use of the Services will be accurate or reliable

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SORAIVY, INC., MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to or use of (or inability to use) the Services
• Any conduct or content of any third party on the platform
• Unauthorized access, use, or alteration of your content or account
• Any other matter relating to the Services

IN NO EVENT SHALL SORAIVY'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SORAIVY IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless Soraivy, Inc., MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with:

• Your use of or access to the Services
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights

12. Termination

Soraivy reserves the right to suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content, subject to applicable law
• Provisions of these Terms that by their nature should survive termination shall survive, including Sections 5, 9, 10, 11, and 13

13. Governing Law and Dispute Resolution

India: If your contracting entity is MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED, these Terms are governed by the laws of India. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India, unless mandatory consumer protection law provides otherwise.

International: If your contracting entity is Soraivy, Inc., these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Newark, Delaware, USA. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class or representative action, to the extent permitted by applicable law.

14. Changes to These Terms

Soraivy reserves the right to modify these Terms at any time. When we do, we will update the effective date at the top of this page. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.

15. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Cancellation Policy, and DMCA Policy, constitute the entire agreement between you and the applicable Soraivy operating entity (MERCURYAI INNOVATIONS INDIA PRIVATE LIMITED and/or Soraivy, Inc.) with respect to the Services and supersede all prior agreements, understandings, or representations.
